Rupen Shah is an independent legal and governance advisor based in Hong Kong, with over 20 years’ experience advising global financial institutions, credit funds, private equity sponsors, and corporates on cross-border finance, risk management, and governance matters.
His experience spans Asia-Pacific, the Middle East, and Europe, supporting structures involving Hong Kong, the Cayman Islands, BVI, Bermuda, and Jersey. Rupen brings board-level judgment particularly relevant to Cayman funds with an Asia presence, especially in situations involving leverage, complex financing arrangements, restructurings, or other high-stakes lifecycle events that create heightened governance and execution risk.
He supports boards and investment managers with structured decision-making, conflicts and duties analysis, review of key transaction documentation, and effective coordination of service providers and external counsel. His approach is grounded in clarity, defensibility, and disciplined oversight.
Prior to his independent practice, Rupen was a Partner at Walkers in Hong Kong, where he led multi-jurisdictional teams on high-value financings and restructurings and acted as trusted offshore counsel to senior stakeholders. His experience includes advising lenders, borrowers, and sponsors on transactions involving offshore fund, holding, and SPV structures. Rupen is a Legal Manager with GPS Legal LLP, an independent Hong Kong law firm, where he advises on a range of Hong Kong corporate, funds and finance matters.
Rupen holds a current practising certificate in England & Wales and is pending admission in Hong Kong. He is admitted in the British Virgin Islands (not currently holding a practising certificate) and previously served as a Bermuda Registered Associate.
